General Terms and Conditions (Terms of Service)
Welcome to LLMentry.com! These General Terms and Conditions ("Terms") govern your access to and use of the website, software, APIs, tools, and services provided by LLMentry (“we,” “us,” or “our”).
By creating an account, subscribing to our services, or using our platform, you (“User,” “Customer,” or “you”) agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the services.
1. Services Provided
LLMentry provides a Software-as-a-Service (SaaS) platform that enables businesses to build semantic data layers, implement Model Context Protocol (MCP) server integration, generate machine-readable web formats (such as llms.txt), and optimize their web infrastructure for AI agents and agentic commerce.
Any content published on our website, such as blogs, guides, or informational articles, is for general reference only and does not form part of our contractual obligations unless explicitly stated.
2. Account Registration and Security
- Account Creation: To access the platform features, you must create an account and provide accurate, current, and complete information.
- Account Responsibility: You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
- Unauthorized Access: You must notify us immediately of any unauthorized use or breach of security regarding your account.
3. Subscriptions, Payments, and Billing
- Paid Subscriptions: Access to LLMentry’s automated tools and data processing pipelines requires a paid subscription. Subscription plans, pricing, and feature tiers are detailed on our website.
- Billing Cycle: Subscriptions are billed on a recurring basis (monthly or annually, as selected during checkout) in advance.
- Price Changes: We reserve the right to modify subscription fees upon reasonable advance notice. Continued use of the service after a price change constitutes acceptance of the new fee.
- Taxes: All fees are exclusive of applicable taxes (such as EU VAT) unless explicitly stated otherwise. EU businesses must provide a valid VAT number for zero-rated intra-EU transactions where applicable.
4. Third-Party API Keys and Usage
- Custom API Integration: LLMentry allows you to connect your own third-party Large Language Model (LLM) API keys (e.g., OpenAI, Google Gemini, Anthropic) to process data through our platform.
- API Key Ownership & Costs: You remain fully responsible for maintaining your third-party API accounts. Any costs, token usage charges, rate limits, or account suspensions incurred with third-party API providers are your sole responsibility.
- Key Handling: LLMentry processes your API keys securely to perform requested actions on your behalf but accepts no liability for third-party provider downtime or service alterations.
5. Intellectual Property & Customer Data
- LLMentry Platform: We retain all rights, title, and interest (including all intellectual property rights) in and to the LLMentry platform, core software, proprietary agents, branding, and workflows.
- Customer Data: You retain full ownership of all data, sitemaps, and content you submit to or process through the platform.
- License to LLMentry: You grant LLMentry a worldwide, non-exclusive license to host, parse, convert, and output your public website data solely as necessary to deliver our services (e.g., generating llms.txt files and serving MCP requests).
- Data Isolation: Our system operates as an isolated layer using your public sitemap data without modifying your core e-commerce, ERP, or web platform code.
6. Acceptable Use Policy
You agree not to use LLMentry to:
- Violate any applicable local, national, or international laws or regulations (including EU regulations).
- Process or publish unlawful, defamatory, deceptive, or infringing content.
- Interfere with or disrupt the integrity or security of the LLMentry servers, databases, or network infrastructure.
- Reverse-engineer, decompile, or attempt to extract source code from our proprietary AI agents or software.
- Execute malicious prompt-injection attacks or intentional data manipulation via our agent networks.
7. AI Performance and Third-Party Crawlers
- Probabilistic Nature of AI: You acknowledge that AI models and third-party search engines operate probabilistically. While LLMentry structures your data according to modern industry standards (such as WebMCP and Lighthouse Agentic Browsing standards), we do not guarantee specific search rankings, traffic volumes, or indexing timelines by third-party search engines or LLM crawlers.
- Third-Party Actions: We are not responsible for how third-party platforms (e.g., Google, OpenAI) choose to ingest, parse, display, or attribute your public data once exposed via standard machine-readable protocols.
8. Termination and Cancellation
- Cancellation by Customer: You may cancel your subscription at any time via your account settings. Cancellation will take effect at the end of your current paid billing period.
- Termination by LLMentry: We reserve the right to suspend or terminate your account immediately if you breach these Terms, fail to pay subscription fees, or engage in activity that poses a security risk to our systems or other users.
- B2B Refund & Right of Withdrawal Clause: Because LLMentry provides digital SaaS functionality immediately upon account activation for business entities (B2B), all fees are non-refundable except where required by mandatory applicable law.
9. Limitation of Liability & Warranties
- "As-Is" Service: The service is provided on an "as-is" and "as-available" basis without warranties of any kind, express or implied.
- Liability Cap: To the maximum extent permitted by law, LLMentry’s total cumulative liability for any claims arising from or related to the service shall be limited to the total amount paid by you to LLMentry in the twelve (12) months preceding the event giving rise to liability.
- Exclusion of Consequential Damages: LLMentry shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunity.
10. Applicable Law and Jurisdiction
- Governing Law: These Terms and any disputes arising out of or in connection with them shall be governed by and construed in accordance with the laws of The Netherlands, excluding its conflict-of-law principles.
- Dispute Resolution: Any disputes that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the competent courts located in Dordrecht / Rotterdam, The Netherlands.
11. Changes to Terms
We reserve the right to update or modify these Terms at any time. We will notify registered users of material changes via email or through a notification on our platform. Continued use of the platform after changes take effect constitutes acceptance of the updated Terms.
